The rules and agreements that govern your use of MyntTip.
By downloading, accessing, or using the MyntTip mobile application, the website at www.mynttip.com, or any related service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and the MyntTip Privacy Policy.
These Terms constitute a legally binding agreement between you and Badmus Holdings LLC, a Delaware limited liability company doing business as MyntTip ("MyntTip," "we," "us," or "our").
If you do not agree to these Terms, do not use the Service.
These Terms apply to two distinct categories of users:

By using the Service you represent and warrant that you meet all eligibility requirements above and that all information you provide to MyntTip is true, accurate, and complete.
MyntTip is a social recognition platform that allows hourly workers to receive Mynts — voluntary gifts from their personal Support Circle — when they achieve workplace milestones ("Wins").
Mynt value: Each Mynt has a face value of eighty-five U.S. cents (US$0.85) when held in a Worker's MyntTip wallet. This face value applies to Mynts received as gifts and is the rate at which Mynts may be cashed out, subject to Section 4.
Geofencing: MyntTip uses GPS geofencing on the Worker's mobile device to detect shift start and end times for the purpose of identifying workplace milestones. Location data is used exclusively for this purpose and is governed by the Privacy Policy.
This Section 4 applies to Workers.
Mynts received from your Support Circle are credited to your MyntTip wallet at a face value of US$0.85 per Mynt. Mynts have no cash value outside of the Service and cannot be transferred between accounts, sold, traded, or used as collateral.
MyntTip reserves the right to change the face value of Mynts on a forward-looking basis with at least thirty (30) days' notice in accordance with Section 19. Any change to face value will not retroactively affect Mynts already credited to your wallet at the prior face value, which will continue to be redeemable at the face value in effect at the time they were credited.
You may cash out your Mynt balance to your linked U.S. bank account through one of the following methods:
The minimum cashout amount is thirty (30) Mynts (US$25.50). Cashouts cannot be initiated for amounts below this minimum.
All cashouts are subject to:
You are not entitled to any interest, dividends, or other earnings on Mynts held in your wallet, regardless of how long they remain unredeemed.
This Section 5 applies to Supporters.
Supporters purchase Mynts in pre-defined bundles. The current bundle pricing is as follows:

The price difference between the dollar amount you pay and the face value of the Mynts you purchase represents MyntTip's platform fee for facilitating the recognition transaction, processing payments, providing the Service, and delivering the Mynts to the Worker. This fee is not refundable except as set forth in this Section 5.
Custom Mynt amounts are not currently supported. Only the bundle quantities listed above are available for purchase.
Mynt purchases are processed by Stripe under the Stripe payment terms incorporated into Section 6. By completing a purchase, you authorize MyntTip and Stripe to charge your selected payment method for the bundle price plus any applicable taxes.
This Section 6 applies to all users.
MyntTip uses Stripe to process Mynt purchases by Supporters and to process Mynt cashouts to Workers. Payment processing services for Workers on MyntTip are provided by Stripe and are subject to the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to use the Service as a Worker, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time.
As a condition of MyntTip enabling payment processing services through Stripe, you agree to provide MyntTip with accurate and complete information about yourself, and you authorize MyntTip to share that information and your transaction information with Stripe.
You authorize MyntTip to act on your behalf in your interactions with Stripe in connection with your MyntTip account, including but not limited to: creating and managing your Stripe connected account; submitting payout instructions on your behalf; responding to information requests from Stripe; and providing your information to Stripe for verification, compliance, fraud prevention, and other purposes Stripe requires.
When you provide personal information in connection with the Service, Stripe receives that information and processes it in accordance with Stripe's Privacy Policy. MyntTip is not responsible for Stripe's privacy practices.
Your relationship with Stripe under the Stripe Services Agreement is independent of your relationship with MyntTip. Stripe may take actions with respect to your Stripe connected account (including suspension, restriction, or closure) for reasons unrelated to MyntTip, and MyntTip is not responsible for those actions.
This Section 7 applies to Workers.
To comply with applicable financial regulations, anti-money-laundering laws, and Stripe's onboarding requirements, you must complete identity verification before initiating your first cashout. Identity verification is conducted by Stripe and may include collection of your full legal name, date of birth, residential address, U.S. Social Security Number (last four digits or full SSN as required), and a government-issued photo identification.
If MyntTip or Stripe is unable to verify your identity for any reason, including but not limited to discrepancies in the information provided, indications of fraud, or sanctions screening hits, MyntTip may close your account and refuse to process cashouts. In such cases, MyntTip will follow applicable law regarding the disposition of any remaining Mynt balance.
This Section 8 applies to Workers.
You are solely responsible for determining the tax consequences of receiving Mynts and cashing out your Mynt balance, and for paying any taxes owed. MyntTip does not provide tax advice. You are encouraged to consult a tax advisor.
MyntTip may be required by law to issue tax information returns (for example, IRS Form 1099-K or Form 1099-NEC) to you and to file copies with the Internal Revenue Service and applicable state tax authorities, based on the volume of cashouts processed during a calendar year. Federal and state thresholds for issuance vary and may change.
You authorize MyntTip to issue any required tax information returns electronically and to deliver them to you through the Service, by email, or through Stripe Express, in accordance with Section 9.
You agree to provide MyntTip with all information required to complete tax information reporting, including a valid U.S. Taxpayer Identification Number (TIN) or Social Security Number, your full legal name, and your residential address. Failure to provide accurate tax information may result in backup withholding or restriction of cashouts.
This Section 9 applies to all users.
By using the Service, you consent under the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and applicable state law to receive all communications, agreements, documents, notices, and disclosures (collectively, "Communications") that MyntTip provides in connection with the Service in electronic form, rather than in paper form. Communications include, without limitation:
MyntTip will deliver Communications to you through one or more of the following methods: (a) by posting in the Service; (b) by SMS to the mobile number on file (subject to Section 10); (c) by email to the email address on file; or (d) through your Stripe Express account where applicable.
To access and retain Communications, you must have a device capable of running the MyntTip mobile application, internet access, and a valid email address. You are responsible for keeping your contact information current.
You may withdraw your consent to receive Communications electronically by closing your account in accordance with Section 13. MyntTip does not currently offer paper delivery of Communications. If you withdraw consent, you may no longer be able to use the Service.
This Section 10 applies to all users who provide a mobile phone number.
By providing your mobile phone number and consenting to SMS communications during registration, you agree to receive the following SMS messages from MyntTip:
Message frequency may vary. Message and data rates may apply. You may opt out of non-essential SMS messages at any time by replying STOP to any message. Reply HELP for help. Opting out of SMS will not affect your ability to receive OTP codes required for account authentication.
Mobile phone numbers and SMS information will not be shared or sold for marketing or promotional purposes.
This Section 11 applies to Workers (when adding members) and Supporters (when receiving notifications).
When you (a Worker) add someone to your Support Circle, you authorize MyntTip to send them SMS notifications when you achieve a Win. By adding a person to your Support Circle, you represent and warrant that:
Support Circle members who receive Win notifications may voluntarily choose to send Mynts. MyntTip does not solicit, pressure, or guarantee gifts from Support Circle members. All Mynt purchases and gifts are entirely voluntary.
You may not use the Service to coerce, harass, or repeatedly solicit gifts from any individual.
This Section 12 applies to all users.
You agree not to:
Violations may result in immediate account suspension or termination under Section 13, recovery of funds, and reporting to law enforcement, Stripe, or other authorities.
This Section 13 applies to all users.
MyntTip may suspend or terminate your account at any time, with or without notice, for:
You may close your account at any time by contacting hello@mynttip.com or using the in-app account closure flow.
If your account has been inactive for a continuous period of three (3) years and contains a positive Mynt balance, MyntTip will attempt to contact you using the contact information on file. If MyntTip is unable to reach you or you do not respond within sixty (60) days of the attempted contact, your account will be considered dormant, and any remaining Mynt balance will be transferred to the appropriate state authority as unclaimed property in accordance with applicable state law (including, where applicable, the Texas Property Code, Title 6).
Sections 5.4 (Refunds and Chargebacks), 8 (Tax Reporting), 12 (User Responsibilities), 13 (this Section), 14 (Disclaimers and Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), 17 (Governing Law), and 18 (General Provisions) survive any termination of your account or these Terms.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent any provision of this Section 14 is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless MyntTip and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from:
This defense and indemnification obligation will survive these Terms and your use of the Service.
Before filing a claim against MyntTip, you agree to first contact MyntTip at hello@mynttip.com and attempt to resolve the dispute informally. MyntTip will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or MyntTip may bring a formal proceeding under this Section 16.
Except for disputes that qualify for small claims court (and remain in small claims court), any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you are a business user, its Commercial Arbitration Rules), as those rules are in effect at the time arbitration is initiated. The arbitration will be conducted in Harris County, Texas, or another location mutually agreed by the parties, or by video or telephone conference at the election of the consumer. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
You may opt out of the mandatory arbitration provision in Section 16.2 by sending written notice of your decision to opt out to hello@mynttip.com with the subject line "Arbitration Opt-Out" within thirty (30) days of the date you first agree to these Terms. Your notice must include your full legal name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out within this 30-day window, neither you nor MyntTip will be required to arbitrate Disputes, and either party may bring a Dispute in court. Opting out of arbitration does not affect any other provision of these Terms, including the class action waiver in Section 16.3, which remains in effect regardless of whether you opt out.
If the class action waiver in Section 16.3 is found to be unenforceable with respect to any Dispute, then the entire arbitration provision in Section 16.2 will be null and void as to that Dispute, and the Dispute will be resolved in court under Section 17.
These arbitration provisions are governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. For any Dispute not subject to arbitration under Section 16, you and MyntTip agree to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, and waive any objection to the laying of venue in those courts.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and MyntTip with respect to the Service, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
MyntTip's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.
You may not assign or transfer these Terms or any rights or obligations under them without MyntTip's prior written consent. Any purported assignment without consent is void. MyntTip may assign these Terms in whole or in part without restriction, including to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
MyntTip will not be liable for any delay or failure to perform under these Terms to the extent caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or failures of third-party service providers (including Stripe).
Notices to you will be delivered through the Service, by email to the address on file, or by SMS to the mobile number on file.
Notices to MyntTip must be sent in writing to: Badmus Holdings LLC, c/o Republic Registered Agent LLC, 262 Chapman Rd, Suite 240, Newark, DE 19702, or by email to hello@mynttip.com. Notice is deemed given upon MyntTip's receipt.
Section headings are for convenience only and do not affect the interpretation of these Terms.
Except as expressly provided (including with respect to Stripe under Section 6, who is an intended third-party beneficiary of the provisions in these Terms that reference the Stripe Services Agreement), these Terms do not create any third-party beneficiary rights.
MyntTip may update these Terms from time to time. If MyntTip makes a material change, MyntTip will notify you through the Service, by email, or by SMS at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date of a change constitutes your acceptance of the updated Terms. If you do not agree to a material change, you must stop using the Service and may close your account in accordance with Section 13.
Non-material changes (for example, corrections of typographical errors or clarifications that do not change your substantive rights or obligations) take effect upon posting.
