Terms of Service

The rules and agreements that govern your use of MyntTip.

Agreement to Terms

By downloading, accessing, or using the MyntTip mobile application, the website at www.mynttip.com, or any related service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and the MyntTip Privacy Policy.

These Terms constitute a legally binding agreement between you and Badmus Holdings LLC, a Delaware limited liability company doing business as MyntTip ("MyntTip," "we," "us," or "our").

If you do not agree to these Terms, do not use the Service.

These Terms apply to two distinct categories of users:

Some sections apply to both. Where a section applies only to one category, that is stated at the top of the section.

Eligibility

To use the Service you must:

  1. Be at least 18 years of age;
  2. Be a legal resident of the United States;
  3. Have a valid mobile phone number capable of receiving SMS messages;
  4. For Workers: have a valid U.S. bank account capable of receiving ACH transfers;
  5. Not be prohibited from using the Service under applicable law; and
  6. Sanctions and AML certification: You represent and warrant that you are not, and are not acting on behalf of any person or entity that is, (i) named on the U.S. Department of the Treasury Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List or any other U.S. or international sanctions list; (ii) located in, organized in, or a resident of any country or region subject to U.S. comprehensive sanctions (currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions); or (iii) otherwise prohibited from receiving or sending funds under U.S. law.

By using the Service you represent and warrant that you meet all eligibility requirements above and that all information you provide to MyntTip is true, accurate, and complete.

The MyntTip Platform

MyntTip is a social recognition platform that allows hourly workers to receive Mynts — voluntary gifts from their personal Support Circle — when they achieve workplace milestones ("Wins").

Important characterization: Mynts are voluntary gifts from members of a Worker's personal Support Circle. They are not wages, tips, gratuities, salary, employment compensation, or compensation for services rendered to MyntTip or to any Supporter. MyntTip is not an employer of Workers and does not facilitate employment relationships. Mynt gifts are not guaranteed and depend entirely on the voluntary actions of Support Circle members.

Mynt value: Each Mynt has a face value of eighty-five U.S. cents (US$0.85) when held in a Worker's MyntTip wallet. This face value applies to Mynts received as gifts and is the rate at which Mynts may be cashed out, subject to Section 4.

Geofencing: MyntTip uses GPS geofencing on the Worker's mobile device to detect shift start and end times for the purpose of identifying workplace milestones. Location data is used exclusively for this purpose and is governed by the Privacy Policy.

Worker Accounts: Mynt Wallet & Cashouts

This Section 4 applies to Workers.

4.1 Mynt Wallet

Mynts received from your Support Circle are credited to your MyntTip wallet at a face value of US$0.85 per Mynt. Mynts have no cash value outside of the Service and cannot be transferred between accounts, sold, traded, or used as collateral.

MyntTip reserves the right to change the face value of Mynts on a forward-looking basis with at least thirty (30) days' notice in accordance with Section 19. Any change to face value will not retroactively affect Mynts already credited to your wallet at the prior face value, which will continue to be redeemable at the face value in effect at the time they were credited.

4.2 Cashout Methods

You may cash out your Mynt balance to your linked U.S. bank account through one of the following methods:

  1. Standard Cashout: Free of charge. Standard Cashouts are batched and processed monthly, with payouts initiated on the 1st calendar day of each month for Mynts in your wallet as of the cashout request date. Funds typically arrive in your bank account within 1–3 business days after initiation.
  2. Instant Cashout: A fee of fifty cents (US$0.50) plus the prevailing Stripe Express instant payout fee (currently 1.5% of the payout amount, subject to a minimum imposed by Stripe) applies. Instant Cashouts are processed within minutes, subject to bank availability. The total fee is disclosed to you before you confirm the cashout.

4.3 Cashout Minimum

The minimum cashout amount is thirty (30) Mynts (US$25.50). Cashouts cannot be initiated for amounts below this minimum.

4.4 Cashout Conditions

All cashouts are subject to:

  1. Successful completion of identity verification ("KYC") under Section 7;
  2. The accuracy and validity of your linked bank account information;
  3. Compliance with these Terms; and
  4. MyntTip's right to delay or refuse a cashout under Section 13.

4.5 No Interest

You are not entitled to any interest, dividends, or other earnings on Mynts held in your wallet, regardless of how long they remain unredeemed.

Supporter Mynt Purchases & Refund Policy

This Section 5 applies to Supporters.

5.1 Mynt Bundles

Supporters purchase Mynts in pre-defined bundles. The current bundle pricing is as follows:

The price difference between the dollar amount you pay and the face value of the Mynts you purchase represents MyntTip's platform fee for facilitating the recognition transaction, processing payments, providing the Service, and delivering the Mynts to the Worker. This fee is not refundable except as set forth in this Section 5.

5.2 Custom Amounts

Custom Mynt amounts are not currently supported. Only the bundle quantities listed above are available for purchase.

5.3 Payment Processing

Mynt purchases are processed by Stripe under the Stripe payment terms incorporated into Section 6. By completing a purchase, you authorize MyntTip and Stripe to charge your selected payment method for the bundle price plus any applicable taxes.

5.4 Refunds and Chargebacks

  1. Mynts are delivered immediately upon purchase. Once a Mynt is credited to a Worker's wallet, it has been delivered and the recognition transaction is complete.
  2. No refunds after delivery. MyntTip will not refund a Mynt purchase once the Mynt has been delivered to the Worker's wallet. This policy reflects the immediate, non-revocable nature of the recognition gift.
  3. Refund eligibility before delivery. If a Mynt purchase fails to result in delivery to the intended Worker (for example, due to a technical error or because the Worker's account becomes ineligible before delivery), MyntTip will issue a full refund to the original payment method within ten (10) business days.
  4. Chargeback recovery. If you initiate a chargeback or payment dispute with your card issuer or bank after a Mynt has been delivered, MyntTip reserves the right to (i) recover the disputed amount and any associated chargeback fees from any Mynt balance you hold; (ii) restrict your ability to use the Service; and (iii) seek recovery from the recipient Worker of any portion of the disputed amount that has been cashed out, to the extent permitted by applicable law. Chargebacks initiated in the absence of a legitimate basis (for example, where the Mynt was knowingly purchased and delivered to the intended Worker) may be reported to your card issuer as fraud.
  5. Tax treatment. Mynt purchases are personal recognition gifts and are not deductible as charitable contributions. MyntTip does not represent that any Mynt purchase qualifies for any specific tax treatment.

Payment Processing & Stripe Connect

This Section 6 applies to all users.

6.1 Stripe as Payment Processor

MyntTip uses Stripe to process Mynt purchases by Supporters and to process Mynt cashouts to Workers. Payment processing services for Workers on MyntTip are provided by Stripe and are subject to the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to use the Service as a Worker, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time.

6.2 Authorization to Share Information with Stripe

As a condition of MyntTip enabling payment processing services through Stripe, you agree to provide MyntTip with accurate and complete information about yourself, and you authorize MyntTip to share that information and your transaction information with Stripe.

6.3 Authorization to Act on Your Behalf

You authorize MyntTip to act on your behalf in your interactions with Stripe in connection with your MyntTip account, including but not limited to: creating and managing your Stripe connected account; submitting payout instructions on your behalf; responding to information requests from Stripe; and providing your information to Stripe for verification, compliance, fraud prevention, and other purposes Stripe requires.

6.4 Stripe Privacy Policy

When you provide personal information in connection with the Service, Stripe receives that information and processes it in accordance with Stripe's Privacy Policy. MyntTip is not responsible for Stripe's privacy practices.

6.5 Independent Stripe Relationship

Your relationship with Stripe under the Stripe Services Agreement is independent of your relationship with MyntTip. Stripe may take actions with respect to your Stripe connected account (including suspension, restriction, or closure) for reasons unrelated to MyntTip, and MyntTip is not responsible for those actions.

Identity Verification (KYC)

This Section 7 applies to Workers.

7.1 KYC Required Before First Cashout

To comply with applicable financial regulations, anti-money-laundering laws, and Stripe's onboarding requirements, you must complete identity verification before initiating your first cashout. Identity verification is conducted by Stripe and may include collection of your full legal name, date of birth, residential address, U.S. Social Security Number (last four digits or full SSN as required), and a government-issued photo identification.

7.2 Failure to Complete KYC

  1. If you initiate a cashout before completing identity verification, the cashout will be held pending verification.
  2. If identity verification is not completed within ninety (90) days of your first cashout request, your account may be restricted, and pending Mynt balance may not be accessible until verification is completed.
  3. If identity verification is not completed within twelve (12) months of your first cashout request, MyntTip may close your account. Any remaining Mynt balance will be handled in accordance with Section 13.4 (Dormant Accounts).

7.3 Inability to Verify

If MyntTip or Stripe is unable to verify your identity for any reason, including but not limited to discrepancies in the information provided, indications of fraud, or sanctions screening hits, MyntTip may close your account and refuse to process cashouts. In such cases, MyntTip will follow applicable law regarding the disposition of any remaining Mynt balance.

Tax Reporting

This Section 8 applies to Workers.

8.1 Worker Tax Responsibility

You are solely responsible for determining the tax consequences of receiving Mynts and cashing out your Mynt balance, and for paying any taxes owed. MyntTip does not provide tax advice. You are encouraged to consult a tax advisor.

8.2 Tax Information Reporting

MyntTip may be required by law to issue tax information returns (for example, IRS Form 1099-K or Form 1099-NEC) to you and to file copies with the Internal Revenue Service and applicable state tax authorities, based on the volume of cashouts processed during a calendar year. Federal and state thresholds for issuance vary and may change.

You authorize MyntTip to issue any required tax information returns electronically and to deliver them to you through the Service, by email, or through Stripe Express, in accordance with Section 9.

8.3 Required Tax Information

You agree to provide MyntTip with all information required to complete tax information reporting, including a valid U.S. Taxpayer Identification Number (TIN) or Social Security Number, your full legal name, and your residential address. Failure to provide accurate tax information may result in backup withholding or restriction of cashouts.

Electronic Communications & E-SIGN Consent

This Section 9 applies to all users.

9.1 Consent to Electronic Records

By using the Service, you consent under the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and applicable state law to receive all communications, agreements, documents, notices, and disclosures (collectively, "Communications") that MyntTip provides in connection with the Service in electronic form, rather than in paper form. Communications include, without limitation:

  1. These Terms and any updates to them;
  2. The Privacy Policy and any updates to it;
  3. Notices of fee changes;
  4. Cashout confirmations, account statements, and transaction records;
  5. Tax information returns under Section 8;
  6. Notices required by law; and
  7. Customer service communications.

9.2 Method of Delivery

MyntTip will deliver Communications to you through one or more of the following methods: (a) by posting in the Service; (b) by SMS to the mobile number on file (subject to Section 10); (c) by email to the email address on file; or (d) through your Stripe Express account where applicable.

9.3 System Requirements

To access and retain Communications, you must have a device capable of running the MyntTip mobile application, internet access, and a valid email address. You are responsible for keeping your contact information current.

9.4 Withdrawal of Consent

You may withdraw your consent to receive Communications electronically by closing your account in accordance with Section 13. MyntTip does not currently offer paper delivery of Communications. If you withdraw consent, you may no longer be able to use the Service.

SMS Communications

This Section 10 applies to all users who provide a mobile phone number.

By providing your mobile phone number and consenting to SMS communications during registration, you agree to receive the following SMS messages from MyntTip:

  1. One-time verification codes (OTP) for account authentication;
  2. Account security alerts;
  3. Win recognition notifications (for Workers and Supporters);
  4. Cashout status notifications (for Workers); and
  5. Service-related transactional messages.

Message frequency may vary. Message and data rates may apply. You may opt out of non-essential SMS messages at any time by replying STOP to any message. Reply HELP for help. Opting out of SMS will not affect your ability to receive OTP codes required for account authentication.

Mobile phone numbers and SMS information will not be shared or sold for marketing or promotional purposes.

Support Circle & Gifting

This Section 11 applies to Workers (when adding members) and Supporters (when receiving notifications).

11.1 Adding Support Circle Members

When you (a Worker) add someone to your Support Circle, you authorize MyntTip to send them SMS notifications when you achieve a Win. By adding a person to your Support Circle, you represent and warrant that:

  1. You have a genuine personal relationship with that person;
  2. You have their permission to share their phone number with MyntTip and to send them MyntTip notifications;
  3. They are at least 18 years of age; and
  4. You are not adding them as part of any scheme to defraud, manipulate, or abuse the Service.

11.2 Voluntary Gifting

Support Circle members who receive Win notifications may voluntarily choose to send Mynts. MyntTip does not solicit, pressure, or guarantee gifts from Support Circle members. All Mynt purchases and gifts are entirely voluntary.

11.3 No Solicitation Through the Service

You may not use the Service to coerce, harass, or repeatedly solicit gifts from any individual.

User Responsibilities & Prohibited Activities

This Section 12 applies to all users.

You agree not to:

  1. Provide false, misleading, or stolen information during registration, KYC, or any interaction with MyntTip;
  2. Manipulate GPS data, falsify shift records, fabricate Wins, or otherwise fraudulently trigger Mynt-eligible events;
  3. Add individuals to a Support Circle without their actual knowledge and consent;
  4. Use the Service for any unlawful purpose, including without limitation money laundering, financing of terrorism, tax evasion, fraud, or violation of U.S. or international sanctions;
  5. Attempt to circumvent, reverse engineer, decompile, disassemble, or hack any MyntTip security measure, technical protection, or rate limit;
  6. Create multiple accounts to abuse the Service, evade restrictions, or manipulate Mynt flows;
  7. Use the Service to send Mynts to yourself or to coordinate Mynt-sending with another user for the purpose of extracting funds without a genuine recognition transaction (i.e., circular gifting or wash transactions);
  8. Use the Service in connection with any prohibited business or activity listed in Stripe's Restricted Businesses list;
  9. Misrepresent the source of funds used to purchase Mynts; or
  10. Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with another user's use of the Service.

Violations may result in immediate account suspension or termination under Section 13, recovery of funds, and reporting to law enforcement, Stripe, or other authorities.

13

Account Suspension, Termination & Dormant Accounts

This Section 13 applies to all users.

13.1 Suspension or Termination by MyntTip

MyntTip may suspend or terminate your account at any time, with or without notice, for:

  1. Violation of these Terms;
  2. Suspected fraud, money laundering, sanctions violations, or other illegal activity;
  3. A request from law enforcement, Stripe, or another financial provider;
  4. Failure to complete KYC under Section 7;
  5. Behavior that harms the Service, MyntTip, other users, or any third party; or
  6. Any other reason permitted by law.

13.2 Termination by You

You may close your account at any time by contacting hello@mynttip.com or using the in-app account closure flow.

13.3 Disposition of Mynt Balance on Termination

  1. Termination by you, or by MyntTip without cause: If you close your account or MyntTip terminates your account for reasons other than those listed in Section 13.1(b), (c), or (e), any remaining Mynt balance of 30 Mynts or more will be cashed out to your linked bank account within ten (10) business days, subject to KYC completion. If your remaining balance is below the cashout minimum, you may request a final cashout, and MyntTip will use commercially reasonable efforts to process it, subject to applicable Stripe fees being deducted from the balance.
  2. Termination for fraud or unlawful conduct: If MyntTip suspends or terminates your account for reasons listed in Section 13.1(b), Mynt balance may be held pending investigation. If unlawful conduct is confirmed, MyntTip may, to the extent permitted by applicable law, retain any portion of the balance attributable to the unlawful conduct and may apply remaining funds toward damages, fines, chargebacks, or restitution. Any balance remaining after such application will be returned to you, applied as required by law, or escheated under Section 13.4.
  3. Termination for KYC failure or inability to verify: If MyntTip closes your account under Section 7.2(c) or 7.3, your remaining Mynt balance will be handled under Section 13.4.

13.4 Dormant Accounts and Unclaimed Property

If your account has been inactive for a continuous period of three (3) years and contains a positive Mynt balance, MyntTip will attempt to contact you using the contact information on file. If MyntTip is unable to reach you or you do not respond within sixty (60) days of the attempted contact, your account will be considered dormant, and any remaining Mynt balance will be transferred to the appropriate state authority as unclaimed property in accordance with applicable state law (including, where applicable, the Texas Property Code, Title 6).

13.5 Survival

Sections 5.4 (Refunds and Chargebacks), 8 (Tax Reporting), 12 (User Responsibilities), 13 (this Section), 14 (Disclaimers and Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), 17 (Governing Law), and 18 (General Provisions) survive any termination of your account or these Terms.

Disclaimers & Limitation of Liability

14.1 Service Provided "As Is"

MyntTip does not warrant that:

  1. The Service will meet your requirements or expectations;
  2. The Service will be available, uninterrupted, timely, secure, or error-free;
  3. Wins will always be detected accurately or in real time;
  4. Mynt notifications will always be delivered;
  5. Cashouts will always be processed within stated timeframes; or
  6. The Service or its servers are free of viruses or other harmful components.

14.2 Limitation of Liability

14.3 Third Party Actions

MyntTip is not responsible for the actions of:

  1. Support Circle members, including their decision to send or not send Mynts, the amounts they choose to send, or any communications between them and Workers;
  2. Stripe, including any decisions Stripe makes about your Stripe connected account, the timing of payouts, or the holding of funds;
  3. Banks, card issuers, or other financial institutions; or
  4. Mobile carriers or telecommunications providers.

14.4 No Waiver of Non-Waivable Rights

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent any provision of this Section 14 is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless MyntTip and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from:

  1. Your use of and access to the Service;
  2. Your violation of these Terms;
  3. Your violation of any third party right, including without limitation any right of privacy or intellectual property right;
  4. Your violation of any applicable law, rule, or regulation, including without limitation the AML and OFAC representations in Section 2(f) and the prohibited activities in Section 12;
  5. Any chargeback, dispute, or refund initiated in connection with a Mynt purchase you made; or
  6. Any claim that information you provided to MyntTip caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Service.

Dispute Resolution: Arbitration & Class Action Waiver

16.1 Informal Dispute Resolution First

Before filing a claim against MyntTip, you agree to first contact MyntTip at hello@mynttip.com and attempt to resolve the dispute informally. MyntTip will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or MyntTip may bring a formal proceeding under this Section 16.

16.2 Mandatory Arbitration

Except for disputes that qualify for small claims court (and remain in small claims court), any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you are a business user, its Commercial Arbitration Rules), as those rules are in effect at the time arbitration is initiated. The arbitration will be conducted in Harris County, Texas, or another location mutually agreed by the parties, or by video or telephone conference at the election of the consumer. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

16.4 Right to Opt Out of Arbitration

You may opt out of the mandatory arbitration provision in Section 16.2 by sending written notice of your decision to opt out to hello@mynttip.com with the subject line "Arbitration Opt-Out" within thirty (30) days of the date you first agree to these Terms. Your notice must include your full legal name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out within this 30-day window, neither you nor MyntTip will be required to arbitrate Disputes, and either party may bring a Dispute in court. Opting out of arbitration does not affect any other provision of these Terms, including the class action waiver in Section 16.3, which remains in effect regardless of whether you opt out.

16.5 Severability of Class Waiver

If the class action waiver in Section 16.3 is found to be unenforceable with respect to any Dispute, then the entire arbitration provision in Section 16.2 will be null and void as to that Dispute, and the Dispute will be resolved in court under Section 17.

16.6 Federal Arbitration Act

These arbitration provisions are governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

Governing Law and Forum

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. For any Dispute not subject to arbitration under Section 16, you and MyntTip agree to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, and waive any objection to the laying of venue in those courts.

18

General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and MyntTip with respect to the Service, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

18.3 No Waiver

MyntTip's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without MyntTip's prior written consent. Any purported assignment without consent is void. MyntTip may assign these Terms in whole or in part without restriction, including to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

MyntTip will not be liable for any delay or failure to perform under these Terms to the extent caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or failures of third-party service providers (including Stripe).

18.6 Notices to You

Notices to you will be delivered through the Service, by email to the address on file, or by SMS to the mobile number on file.

18.7 Notices to MyntTip

Notices to MyntTip must be sent in writing to: Badmus Holdings LLC, c/o Republic Registered Agent LLC, 262 Chapman Rd, Suite 240, Newark, DE 19702, or by email to hello@mynttip.com. Notice is deemed given upon MyntTip's receipt.

18.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

18.9 No Third-Party Beneficiaries

Except as expressly provided (including with respect to Stripe under Section 6, who is an intended third-party beneficiary of the provisions in these Terms that reference the Stripe Services Agreement), these Terms do not create any third-party beneficiary rights.

Changes to These Terms

MyntTip may update these Terms from time to time. If MyntTip makes a material change, MyntTip will notify you through the Service, by email, or by SMS at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date of a change constitutes your acceptance of the updated Terms. If you do not agree to a material change, you must stop using the Service and may close your account in accordance with Section 13.

Non-material changes (for example, corrections of typographical errors or clarifications that do not change your substantive rights or obligations) take effect upon posting.
